Judge approves AT&T-Time Warner deal

Judge Richard Leon of the U.S. District Court for the District of Columbia said at a hearing that he has found, after a six-week trial, that the deal does not violate antitrust law and can proceed.

Leon discouraged the government from asking him to put his own ruling on hold pending appeal, and said that if asked he would deny a stay. "I hope the government has the wisdom and courage" not to seek a stay, he said.

Using unusually strong language, Leon said it would be "manifestly unjust" for the government to ask him to put his own ruling on hold, because if he were to do so, it could have the effect of killing the deal, which has a deadline for completion of June 21.

The Justice Department, which had sued to block the purchase, has the option of appealing the decision. According to a scheduling order, AT&T has agreed not to complete the acquisition for six days to allow time for an appeal.


CNN is owned by Time Warner.

Makan Delrahim, the Justice Department's top antitrust official, said the government was disappointed in the ruling and would "consider next steps."

"We continue to believe that the pay-TV market will be less competitive and less innovative as a result of the proposed merger between AT&T and Time Warner," he said in a statement.

David McAtee, AT&T's general counsel, said AT&T expected to close the deal by June 20.

"We are pleased that, after conducting a full and fair trial on the merits, the Court has categorically rejected the government's lawsuit to block our merger with Time Warner," he said in a statement.

The judge's ruling will likely be seen by tech and telecom giants as a green light to pursue a slew of major media acquisitions.

A federal judge said Tuesday that AT&T's $85.4 billion purchase of Time Warner is legal, clearing the path for a deal that gives the pay-TV provider ownership of cable channels such as HBO and CNN as well as film studio Warner Bros.

U.S. District Court Judge Richard Leon did not impose conditions on the merger's approval. He also urged the government not to seek a stay when issuing his decision in a closed-door room with reporters.

AT&T General Counsel David McAtee said the company was pleased with the result.


"We are pleased that, after conducting a full and fair trial on the merits, the Court has categorically rejected the government's lawsuit to block our merger with Time Warner," McAtee said in a statement. "We look forward to closing the merger on or before June 20 so we can begin to give consumers video entertainment that is more affordable, mobile, and innovative."

Shares of Time Warner jumped roughly 5 percent in extended trading. Shares of AT&T dropped as much as 2 percent.

You aint kiddin.. The day going to come when we have 1 cable company, 1 cell phone comp, 1 newspaper and so on.. The only choice we will have is what package they offer us!! Boy oh boy, the illusion of choice!!!
 
I hope AT&T separates DC Entertainment from Warner Bros and make them an Independent
company....

So now net neutrality is done you give AT&Fee gatekeepers to a swath of content and the ability to kill the cord cutters.

There's no more competition in entertainment.

I told my coworkers that I won’t be surprised me before my retirement I end up no I’m sorry we end up at ma-bell (At&t)
